Veltrix Pvt Ltd ("Veltrix", "we", "us", or "our") is a private company incorporated and registered under the laws of the Republic of Mauritius. We develop and operate BAREC — a cloud-based business management platform — for commercial and enterprise clients.
BAREC is a software-as-a-service (SaaS) platform that provides tools for sales management, inventory control, point-of-sale operations, employee management, financial reporting, and related business functions.
By registering for, accessing, or using BAREC, you ("Client", "you", or "your") agree to be legally bound by these Terms & Conditions and any policies incorporated herein by reference, including the Privacy Policy.
If you are entering into these Terms on behalf of an organisation or business, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, you must not proceed.
These Terms constitute a legally binding agreement between you and Veltrix Pvt Ltd.
BAREC provides the following core modules and services:
Veltrix reserves the right to add, modify, or discontinue features at any time, subject to reasonable notice.
To use BAREC, you must create an account by providing accurate and complete information. You agree to keep your registration information up to date.
You are solely responsible for maintaining the confidentiality of your login credentials. You must notify Veltrix immediately at [email protected] if you become aware of any unauthorised access to your account.
Veltrix is not liable for any loss or damage arising from your failure to protect your account credentials.
You may create user accounts for your employees and team members. You are responsible for ensuring all users under your organisation comply with these Terms. You remain liable for all activities conducted through accounts within your organisation.
BAREC is offered on subscription plans as detailed on the pricing page at the time of purchase. Pricing may vary based on the number of branches, users, and additional services agreed upon in the service agreement.
All fees are due in advance on the agreed billing cycle (monthly or annually). Invoices are payable within fourteen (14) days of issue unless otherwise agreed in writing.
Late payments may incur interest at a rate of 1.5% per month on the outstanding balance. Veltrix reserves the right to suspend access to the service for accounts with overdue payments after providing seven (7) days written notice.
Veltrix may update subscription pricing by providing at least thirty (30) days advance written notice. Continued use of the service after the notice period constitutes acceptance of the new pricing.
Unless required by applicable law, all subscription fees are non-refundable. Veltrix may, at its discretion, issue pro-rated credits in exceptional circumstances.
You agree not to use BAREC to:
Veltrix reserves the right to immediately suspend or terminate access to any account found to be in breach of this Acceptable Use Policy.
All intellectual property rights in BAREC — including but not limited to software, source code, design, trademarks, logos, documentation, and content — are owned exclusively by Veltrix Pvt Ltd.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to use BAREC for your internal business purposes only. No ownership rights are transferred to you.
You retain full ownership of all data you input into BAREC. Veltrix does not claim ownership over your business data.
Veltrix will process your business data solely to provide the BAREC service, as described in our Privacy Policy.
Both parties agree to keep confidential all non-public information received from the other party in connection with these Terms. This obligation survives the termination of the agreement for a period of five (5) years.
Veltrix implements industry-standard security measures to protect your data. However, no method of transmission over the internet is 100% secure, and Veltrix cannot guarantee absolute security.
Veltrix aims to maintain BAREC availability of at least 99% per calendar month, excluding scheduled maintenance windows. Scheduled maintenance will be communicated with at least 24 hours notice.
Technical support is provided via email at [email protected] during business hours (Monday to Friday, 08:00–17:00 CAT). Response times are targeted at 24 business hours for standard queries.
Clients on qualifying plans may be entitled to a defined number of custom feature developments per month as specified in their service agreement. Features are subject to technical feasibility assessment.
To the maximum extent permitted by applicable Mauritius law:
You agree to indemnify, defend, and hold harmless Veltrix Pvt Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
You may terminate your subscription at any time by providing thirty (30) days written notice to [email protected]. No refunds will be issued for prepaid periods.
Veltrix may terminate your account immediately, without notice, if you breach these Terms, fail to pay fees when due, or engage in conduct that Veltrix reasonably determines to be harmful to the platform or other users.
Upon termination, your access to BAREC will be revoked. Veltrix will make your data available for export for a period of thirty (30) days after termination, after which it may be permanently deleted.
Veltrix may update these Terms at any time. When we do, we will update the "Last updated" date at the top of this page and, for material changes, notify you via email or an in-app notice at least fourteen (14) days before the changes take effect.
Your continued use of BAREC after the effective date constitutes your acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Mauritius, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days, either party may refer the matter to the courts of Mauritius, whose jurisdiction both parties irrevocably submit to.
